Terms of Service – Emmashopee

IMPORTANT NOTICE: These Terms of Service contain provisions that limit your rights, including requirements for binding arbitration on an individual basis (no jury trials or class actions) and limitations on our liability. Please read them carefully.

By placing an order on emmashopee.com (the “Site”), you affirm that you are at least 18 years of age (or the legal age to form a binding contract in your jurisdiction), have the authority to bind any entity on whose behalf you are ordering, and agree to be bound by these Terms of Service (“Terms”). If you do not agree, do not place orders or use the Site.

These Terms govern the purchase and sale of products and services through the Site operated by Emmashopee LLC, a Delaware limited liability company (“we,” “us,” or “our”). We may update these Terms at any time; changes take effect on the “Last Updated” date posted here. Your continued use of the Site or placement of orders after such changes constitutes acceptance.

These Terms integrate with our Shipping Policy, Refund Policy, and Privacy Policy (or data-sharing opt-out page), which are incorporated by reference.

  1. Order Acceptance and Cancellation Your order constitutes an offer to purchase. We reserve the right to accept or reject any order in our sole discretion, even after sending an order confirmation. We may cancel orders due to pricing errors, stock unavailability, or other reasons, and will notify you promptly.
  2. Prices and Payment
    • Prices and promotions on the Site are subject to change without notice. The price charged is that in effect at checkout, as confirmed in your order email.
    • Prices exclude taxes, shipping, and handling, which are added at checkout and itemized.
    • We correct obvious pricing errors and may cancel affected orders.
    • Payment is due upon order placement. We accept major credit cards (Visa, Mastercard, Discover, American Express). You warrant that your payment information is accurate and that charges will be honored.
    • Separate promotional terms may apply and supersede these Terms in case of conflict.
  3. Shipping, Delivery, Title, and Risk of Loss
    • We ship to addresses in the 48 contiguous United States only (see Shipping Policy for details).
    • Shipping and handling fees are your responsibility and non-refundable.
    • Title and risk of loss transfer to you upon handover to the carrier. Delivery estimates are approximate; we are not liable for carrier delays.
  4. Returns, Refunds, and Custom Orders
    • Standard returns are accepted within 30 days of shipment for eligible items, subject to our Refund Policy. You bear return shipping costs and risk of loss.
    • Custom, personalized, or embroidered items (e.g., those with custom text, names, designs, or modifications) are non-returnable and non-refundable except for manufacturing defects, damage in transit, or our errors in fulfilling your specifications. For such issues, contact us within 7 days of receipt with photos for review; remedies may include repair, replacement, or refund at our discretion.
    • No refunds on discount items, gift cards, or final-sale products designated as such. Refunds are issued to the original payment method after inspection.
  5. Warranties and Disclaimers All products and services are provided “AS IS” without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, or non-infringement of third-party intellectual property rights. We do not manufacture all items; refer to any included manufacturer warranties. Some jurisdictions limit warranty disclaimers; these may not apply to you.
  6. Limitation of Liability To the fullest extent permitted by law, we are not liable for consequential, indirect, incidental, special, exemplary, punitive, or enhanced damages, lost profits, or diminution in value, even if foreseeable or advised of the possibility. Our total liability for any claim is limited to the amount you paid for the specific product(s) or service(s) giving rise to the claim.
  7. Use Restrictions Products are for personal or household use only, not for resale or export. You warrant that purchases are for final delivery within the United States.
  8. Privacy Our handling of your personal information is governed by our Privacy Policy (linked above).
  9. Force Majeure We are not liable for delays or failures caused by events beyond our reasonable control, including acts of God, natural disasters, governmental actions, labor disputes, or supply shortages.
  10. Governing Law These Terms are governed by the internal laws of the State of Delaware, without regard to conflict-of-laws principles.
  11. Dispute Resolution and Arbitration
    • Any dispute arising from or related to these Terms or your purchases will be resolved exclusively by binding arbitration under the rules of the American Arbitration Association, conducted individually (no class or representative actions).
    • You waive rights to court litigation, jury trials, or class participation. The arbitrator may award the same relief available in court, including reasonable attorneys’ fees if applicable.
    • You may opt for small-claims court instead if you notify us in writing within 60 days of purchase.
    • If any arbitration provision is unenforceable, it will be severed, and remaining terms enforced.
  12. Miscellaneous
    • Assignment: You may not assign these Terms without our written consent.
    • No Waiver: Our failure to enforce any provision does not waive future enforcement.
    • Severability: Invalid provisions are severed; remaining terms continue in effect.
    • No Third-Party Beneficiaries: These Terms benefit only you and us.
    • Notices: We may notify you by email or Site posting. Notices to us must be sent via certified mail to Emmashopee LLC (address available upon request or via contact form).
    • Entire Agreement: These Terms (with incorporated policies) constitute the full agreement.
